WALLIES TERMS OF SERVICE

Welcome to Wallies (the "Platform," "we," "us," or "our"), operated by Wallies LLC. By accessing or using the Platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Platform.

You must be at least 13 years old to use the Platform. Users aged 13–17 require verifiable parental or guardian consent. You must be at least 18 years old (or the age of majority in your jurisdiction) to use features involving earnings, withdrawals, marketplace sales, or creator monetization.

Wallies is a creator-economy platform that allows users to:

• Post and engage with short-form video content (Rooms)
• Run and join community servers with text and voice channels (Closets)
• Participate in community-driven posts and discussions (Banter)
• Publish and read serialized written content (Ink)
• Create, train, and interact with 3D AI companions (Lubs)
• Buy, sell, and trade unique creator identities (Handles)
• Launch digital and physical product drops, and run creator storefronts
• Upload music, host livestreams, and offer fan memberships and tickets
• Pay other users to host your video posts on their profiles (Hosted Video)
• Build, publish, and monetize no-code apps and games through Forge (formerly the App Store)
• Play the Allforge trading card game with AI-generated card art, decks, and matches
• Send direct messages and group messages, including attachments and voice messages
• Hold and use WalliesCards (founder, referral, and developer cards) with platform benefits
• Buy, earn, and spend a platform currency ("ILY") across every feature
• Pay and receive payouts in USD via Stripe, subject to eligibility and settlement rules

3.1 Nature of ILY

ILY is a virtual, in-platform credit and:

• Is not legal tender and is not a currency, security, or financial instrument
• Has an anchor reference rate of 100 ILY = $1.00 USD for pricing purposes only
• Has no cash value outside the Platform
• Does not constitute property and is a limited, revocable license granted by Wallies LLC
• Is non-transferable between user accounts except through supported Platform features

We may modify, suspend, expire, or terminate ILY at any time.

3.2 No Guarantee of Value

ILY bonus percentages, bundle pricing, earning rates, sink costs, and redemption conditions are determined solely by the Platform and may change at any time without notice.

3.3 Withdrawable vs. Non-Withdrawable ILY

Only ILY earned from qualifying activities (e.g., approved creator sales, eligible bug bounties) may become eligible for cash out, subject to the 14-day settlement hold, verification, and minimum thresholds. ILY earned from daily rewards, promotional grants, and the User Marketplace is strictly spendable in-platform and cannot be cashed out.

4.1 Engagement-Based Rewards

Users may earn ILY through engagement, daily logins, referrals, creator sales, and bug bounties. Rewards are:

• Algorithmically determined
• Variable and not guaranteed
• Capped by daily and monthly limits
• Subject to change at any time

We do not guarantee any level of earnings.

4.2 No Employment Relationship

Users are not employees, contractors, or agents of Wallies LLC. Participation does not create any employment, partnership, or agency relationship.

5.1 Platform Fees

Marketplace, drops, handle resales, user listings, and stream tickets are subject to a tiered platform fee:

• Standard users: 30% platform fee
• Wallies Black cardholders: 20% platform fee
• Wallies Infinite cardholders: 10% platform fee
• When either buyer or seller holds a Wallies card, the lower fee applies

5.2 Settlement Hold

Creator earnings may be:

• Placed in a pending state for a minimum of 14 days to protect against chargebacks and fraud
• Subject to review for fraud, abuse, policy violations, or regulatory compliance
• Reversed or withheld where violations, disputes, or chargebacks are identified

5.3 Forge Revenue Share

Developers publishing apps, games, or in-app purchases through Forge (formerly the App Store) receive 70% of net revenue, with Wallies LLC retaining a 30% platform share, subject to the same settlement and compliance rules above.

6.1 Payout Provider

Creator payouts are processed via Stripe (including Stripe Connect where required). You may be required to agree to Stripe's terms of service and complete Stripe identity verification to receive payouts.

6.2 Minimum Threshold

• Earnings must complete the 14-day pending / settlement period
• Withdrawals may require additional identity or source-of-funds review
• Processing times may vary based on Stripe and banking partners

6.4 Conditions

To withdraw, users must:

• Complete identity verification (KYC) where required
• Submit required tax documentation (e.g., W-9 or W-8BEN) where applicable
• Comply with all Platform policies and applicable laws

6.5 Right to Withhold, Deny, or Reverse

We reserve the right to delay, deny, reverse, or recall any earnings or withdrawal if we detect:

• Fraud
• Abuse or self-dealing
• Policy violations
• Chargebacks or payment disputes
• Legal or regulatory requirements

The Platform allows users to list, sell, buy, and resell digital assets (including 3D models, animations, skins, chat backgrounds, music, and apps). By listing or purchasing content, you agree that:

• All listed content must be owned by you or properly licensed
• All content must comply with our Acceptable Use, Community Guidelines, and DMCA policies
• Wallies LLC may scan, moderate, or remove content, and suspend listings, at its sole discretion
• Handles and other identity assets may be listed and resold; handle transactions are final except as required by law
• Digital items are licensed to buyers for personal use on the Platform and are not transferable outside the Platform

7.1 Canvas Commission Studio — Display License

Canvas is the Platform's commission studio for custom 3D VRM avatars and related artwork. By listing a service on Canvas (as a creator) or commissioning work through Canvas (as a client), you grant Wallies LLC a non-exclusive, perpetual, royalty-free license to display, reproduce, and publicly perform the 3D VRM models and related artwork you provide, showcase, or commission — including in listings, portfolios, previews, marketing, and discovery surfaces across the Platform.

• Creators grant this display license for the models and artwork they provide, showcase, or deliver through Canvas, and must affirmatively accept it to publish a listing
• Clients grant this display license for the commissioned models and artwork, and must affirmatively accept it before payment is placed in escrow
• Creators additionally re-affirm this license each time they accept a commission
• This license is for display purposes only — it does not transfer ownership or copyright, which remain governed by the license tier selected in each commission (personal, commercial, custom, or full copyright transfer)
• This license survives account termination for content already displayed, delivered, or in an active commission

7.2 User Content Display License (All Uploads)

By uploading, posting, or submitting any content to the Platform — including 3D VRM models, portfolio pieces, artwork, images, videos, music, apps, and written works — you represent that you own the content or hold all rights and consents needed to grant the license below, and you grant Wallies LLC a non-exclusive, perpetual, worldwide, royalty-free license to host, display, reproduce, and publicly perform that content on the Platform for the purposes of operating, promoting, and improving the Service — including profiles, portfolios, listings, previews, discovery feeds, and marketing surfaces.

• This applies to content you provide yourself and to commissioned content you upload or showcase, for which the creator and client have each granted this display license through the Platform's consent flows
• This license is for display and operation of the Platform only — it does not transfer ownership or copyright in your content, which you retain
• Where a commission specifies a license tier (personal, commercial, custom, or full copyright transfer), that tier governs ownership between creator and client; this display license to Wallies applies independently
• This license survives account termination for content already displayed, delivered, sold, or included in an active commission

Users may NOT:

• Use bots, scripts, or automation to interact with the Platform
• Artificially inflate engagement, plays, views, or rewards
• Create multiple accounts to farm rewards or evade bans
• Manipulate the ILY economy, referral program, or reward systems
• Abuse or exploit platform bugs, AI prompts, or handle systems for personal gain
• Upload content you do not own or have rights to distribute
• Circumvent payouts, settlement holds, or KYC requirements

Violation may result in:

• Loss of ILY, earnings, and items
• Account suspension
• Permanent ban
• Legal action and cooperation with law enforcement

The Platform uses proprietary algorithms and third-party AI providers to power companions (Lubs), recommendations, rewards, moderation, discovery, Forge app generation, and Allforge card art.

We may:

• Modify reward calculations, pool sizes, caps, and multipliers
• Adjust AI provider routing, model selection, and rate limits
• Change eligibility criteria for features or programs

at any time without notice.

9.1 AI Conversation Handling

By using AI features on Wallies, you acknowledge and agree that:

• AI responses are generated by software and may be imperfect, factually wrong, biased, or inconsistent. You will not rely on AI output for medical, legal, financial, safety-critical, or crisis decisions.
• AI companions are simulated software and do not feel emotions, consciousness, or reciprocal connection. They are not a substitute for human connection, professional mental healthcare, or emergency services.
• All companion conversations, prompts, AI outputs, and AI-assisted interactions are subject to automated moderation and, where legitimately required, limited human review by authorized personnel — for safety enforcement, abuse investigation, quality assurance, debugging, and personalization. See our Privacy Policy Section 2.1 ("AI Conversations & Safety") for the full framework.
• Memory and personalization may persist across sessions. You may review and delete stored memories at any time.
• Aggregated, de-identified signals from AI interactions may be used to improve our own moderation and safety systems. Your conversations are not used to train generalized AI models.

9.2 Prohibited AI Use & Jailbreak Attempts

You may NOT:

• Attempt to manipulate, jailbreak, prompt-inject, or otherwise coerce AI systems into producing CSAM, sexual content involving minors, threats, self-harm coaching, illegal-activity instructions, or other prohibited content
• Use AI features to generate, request, or simulate sexual content with characters depicted as minors or of ambiguous age
• Use AI features to harass, dox, impersonate, or defame other users
• Use AI-generated content to circumvent intellectual property or copyright protections
• Probe, scrape, or attempt to extract system prompts, training data, or other internal AI configuration

Jailbreak and prompt-injection attempts are automatically logged. Violations may result in immediate account suspension, permanent ban, forfeiture of ILY and creator earnings, and where legally required, referral to law enforcement.

9.3 Minor & NSFW Framework for AI

• Minimum age to use Wallies (including any AI features) is 13. Users 13–17 require verifiable parental or guardian consent and operate under restricted-mode accounts.
• Sexual content, sexual roleplay, and sexually explicit imagery are prohibited on every Wallies surface — including companion chat, video uploads, marketplace assets, profile images, livestreams, and ink chapters — regardless of user age.
• Companion behavior automatically adapts to the user's verified age. Age-ambiguous accounts may be restricted pending verification.
• CSAM-related violations result in immediate, irreversible account termination, evidence preservation under 18 U.S.C. § 2258A, and reporting to NCMEC.

• Payments and subscriptions are processed via Stripe
• All purchases of ILY, subscriptions, drops, handles, tickets, and apps are final and non-refundable, unless required by law
• Prices, bundles, and subscription tiers may change at any time
• Subscription tiers (Standard, Advanced, Architect, and Closet bot tiers) are described on the subscription page and are billed monthly unless stated otherwise

10.1 Chargebacks & Permanent Ban Policy

Before disputing a charge with your bank or card issuer, you agree to first contact Wallies support at contact@wallies.com to attempt resolution. Filing a chargeback or payment dispute without first contacting us is a material breach of these Terms.

If a chargeback or payment dispute is filed against your account, Wallies LLC reserves the right to take any or all of the following actions, immediately and without further notice:

• Permanently ban the account and any associated, linked, or alternate accounts (including accounts sharing payment method, device, IP, email, phone, or handle history)
• Reverse, void, or claw back any ILY, items, handles, drops, tickets, subscriptions, Forge purchases, or other digital goods associated with the disputed transaction
• Forfeit and zero-out the entire ILY balance on the account, including pending creator earnings, daily rewards, referral commissions, and any cashable balance
• Cancel pending withdrawals and revoke active subscriptions, memberships, and Wallies Card benefits
• Suspend or terminate creator monetization, marketplace selling privileges, and developer Forge access
• Block the offending payment method, device fingerprint, and IP address from future purchases across the Platform
• Submit the chargeback to Stripe for evidence-based dispute and recover all associated fees, fines, and recovery costs from any remaining balances
• Refer fraudulent or malicious chargebacks to law enforcement, collections, and chargeback-prevention networks (e.g., Ethoca, Verifi)

Bans issued for chargeback abuse are permanent and non-appealable except where the chargeback is later confirmed by both Wallies and the card issuer to have resulted from verified payment fraud (i.e., an unauthorized third party using your payment method without your consent), documented duplicate billing by Wallies, or where reversal is required by applicable law.

You acknowledge that virtual currency (ILY), digital items, handles, and other in-platform assets are delivered immediately upon purchase and have no resale value outside the Platform. You expressly waive any claim that such items were "not received," "not as described," or otherwise eligible for chargeback once the purchase has been credited to your account.

By making any purchase on the Platform, you authorize Wallies LLC to provide your account history, transaction records, IP and device information, and chat or moderation logs to Stripe, the card networks, and law enforcement as evidence in defending against any chargeback or fraud claim you initiate.

Users are solely responsible for:

• Reporting income from any earnings, sales, or withdrawals
• Paying applicable taxes in their jurisdiction

We may:

• Require tax forms before withdrawal or creator activation
• Issue tax documents (e.g., 1099-NEC, 1099-K) when required by law

We do not provide tax, legal, or financial advice.

We may suspend or terminate accounts at our discretion, including for:

• Violations of these Terms or linked policies
• Fraud, abuse, or safety concerns
• Legal or regulatory requirements
• Extended inactivity (where permitted by law)

We may remove, forfeit, or reverse ILY balances, items, handles, and pending earnings in such cases.

12.1 Under-13 Accounts (COPPA)

If we learn an account belongs to a child under 13, we terminate it and delete the child's personal information without undue delay, as required by the Children's Online Privacy Protection Act, except data we must preserve by law (e.g., CSAM evidence under 18 U.S.C. § 2258A).

THE PLATFORM, ILY, AI FEATURES, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Platform will be uninterrupted, secure, error-free, or that AI outputs will be accurate. Some jurisdictions do not allow these exclusions, so they may not apply to you.

You agree to defend, indemnify, and hold harmless Wallies LLC and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from content you upload or publish, your use of the Platform, your violation of these Terms, or your infringement of any third-party right.

Wallies LLC is not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government action, pandemics, internet or utility outages, and failures of third-party providers.

To the maximum extent permitted by law:

Wallies LLC is not liable for:

• Loss of earnings, ILY, or items
• Missed rewards or promotions
• Platform downtime or errors
• Third-party service interruptions (Stripe, AI providers, Bunny Stream, Mux, Cloudflare, Daily.co, etc.)
• Indirect, incidental, or consequential damages

Use of the Platform is at your own risk.

We may update these Terms at any time. Material changes will be communicated via email or in-app notice. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules. Disputes are handled per our Dispute Resolution policy.
